Frankfurt am Main – December 2023 – COMMEO has advised ZeroNorth (Denmark), a provider of software solutions for the shipping industry, and its shareholders, in particular companies with a focus on shipping logistics, on the acquisition of all shares in Alpha Ori (Singapore), another provider of software solutions for the shipping industry.
With the merger, ZeroNorth and Alpha Ori aim to create synergies in terms of the digital transformation of the shipping industry by combining their different areas of expertise. A particular focus here is on reducing emissions through optimized shipping based on software solutions.
Due to the complexity of the multi-stage transaction with numerous other companies involved and the product markets affected (in particular software solutions for the shipping industry and shipping logistics), COMMEO handled the extensive merger control notification to the German Federal Cartel Office. The proposed transaction was also notified under merger control laws outside the EU. The Federal Cartel Office has approved the transaction in Phase 1.
